Company Secretarial /Deputy Head of Governance
TITLE: (LONDON or WARWICK) CoSec/Deputy Head of Governance
Salary : to £60,000 + excellent benefits
Language required: Fluent English. Other languages are always helpful ( not essential )
Location: London or Warwick. Hybrid: 1-2 days office based and 3-4 home based

The practice provides essential business services to overseas companies looking to enter, grow or scale in the UK. The company helps with Legal, Finance, Human Resources, Payroll & also Virtual Offices. The culture is warm, accommodating and has a strong family ethos. The role is 50% directly client orientated in which you will act as the outsourced business advisory function and will help solve large and small issues that face any business. You will advise, guide and get to know your clients and partner with them as they establish themselves in the UK .
You will help to guide and support clients through UK accounting processes and also deal with any legal queries and will train a coach and mentor more junior staff.
DUTIES
50% training and development of junior staff :
- Team management : Supervising and supporting junior colleagues as they manage their own client portfolios
- Providing technical advice over the internal Employee Share Scheme
- Attending Board Meetings and advising on Corporate Governance issues
- Helping to develop and implement new policies and procedures across the department
- Attend networking events
- Use of online research tools, including Diligent Entities and Companies House website
50% Client Relationship Management
You will become a ” friend” to your clients and your role is to be a Business Advisor in which you will work directly with clients from various jurisdictions and sectors
- Setting up new companies / onboarding new clients who have existing companies
- Assisting with the UK aspects of corporate reorganisations, (incl mergers & acquisitions, rationalisations, strike-offs, and collaborating with different function lines such as HR, benefits, etc)
- Dealing with all Company Secretarial matters including companies share capital and shareholding structures
- Advising Directors on every aspect of business and ensuring they are compliant
- Working on various corporate projects
- Liaising with external advisors, (lawyers, accountants, tax advisors etc)
- Reviewing and maintaining Diligent Entities / internal corporate databases
REQUIREMENTS
- ICSA qualified, or ACIS / ACG level (ideally . Not essential)
- Experience in professional service firm or Inhouse
- 5 years relevant experience
